Terms of Service — Denville Rocks Community

1. Agreement to These Terms
These Terms of Service (“Terms”) are a binding agreement between you and Cartwright Web Strategies LLC, doing business as Denville Rocks (“we,” “us,” or “our”), the operator of the Community. By creating an account, accessing, or using the Community, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Community.
2. Eligibility
You must be at least 18 years old to create an account, access, or use the Community. The Community is an adults-only service and is not directed to or intended for minors. By using the Community you represent that you are at least 18, that the information you provide is accurate, and that your use does not violate any applicable law. We may suspend or remove any account we believe belongs to a person under 18.
3. Accounts and Registration
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding your password and for all activity under your account.
- You may not share your account, impersonate others, or create an account using another person’s identity.
- Notify us immediately at support@denvillerocks.com of any unauthorized use.
- We may refuse registration, reclaim usernames, or suspend/terminate accounts at our discretion as described in these Terms.
4. Community Rules and Acceptable Use
The Community exists to support neighbors, local businesses, and civic life in the Denville area. You agree not to post, upload, or transmit content, or engage in conduct, that:
- Is unlawful, fraudulent, defamatory, libelous, or invasive of another’s privacy;
- Harasses, bullies, threatens, stalks, or intimidates any person;
- Is hateful or discriminatory, or incites violence or hatred, on the basis of race, ethnicity, national origin, religion, sex, gender identity or expression, sexual orientation, disability, age, or other protected characteristic;
- Is sexually explicit, obscene, or pornographic, or that sexualizes, endangers, or exploits minors in any way;
- Promotes or facilitates illegal activity, including the sale of illegal goods, drugs, weapons, or counterfeit items;
- Infringes any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right;
- Contains malware, viruses, or any code designed to disrupt or damage software, hardware, or data;
- Is spam, unsolicited advertising, pyramid schemes, or repetitive/manipulative content, or that artificially inflates engagement;
- Discloses another person’s private or personally identifiable information without consent (“doxxing”);
- Misrepresents your identity or affiliation, or uses bots or automated means to access or scrape the Community without our permission;
- Attempts to gain unauthorized access to the Community, other accounts, or our systems, or interferes with the Service’s operation or security;
- Violates any applicable local, state, or federal law, or these Terms.
We may also publish supplemental community guidelines, which form part of these Terms.
5. Your Content and License to Us
You retain ownership of the content you create and post (“User Content”). To operate the Community, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting/display), publish, publicly display, and distribute your User Content solely in connection with operating, promoting, and improving the Community. This license ends when you delete your User Content or your account, except: (a) for content others have shared or quoted; (b) where retention is required by law; and (c) for reasonable backup copies that are deleted in the ordinary course.
You represent that you own or have the necessary rights to your User Content and that it does not violate these Terms or any law or third-party right. You are solely responsible for your User Content.
6. Content Moderation; No Obligation to Monitor
We want a safe, useful community, so we may review, moderate, edit, remove, restrict, or refuse any User Content, and suspend or remove accounts, for any reason or no reason, including for violations of these Terms. To do this we use a combination of human moderators and automated tools, including an AI-assisted moderation system that flags or acts on content that appears to violate our rules. Automated actions are subject to human oversight, and you may appeal a moderation decision by contacting support@denvillerocks.com.
However, we are under no obligation to monitor the Community, and we do not guarantee that we will review all content. We are an interactive computer service provider; consistent with Section 230 of the Communications Decency Act (47 U.S.C. § 230), we are not the publisher or speaker of User Content created by others, and we are not liable for it. Any opinions or statements in User Content are those of the user who posted them, not us. We do not endorse and are not responsible for User Content.
7. Our Intellectual Property
The Community itself — including its software, design, layout, logos, trademarks (“Denville Rocks” and related marks), text we author, and other materials we provide — is owned by us or our licensors and protected by intellectual property laws. We grant you a limited, revocable, non-transferable license to access and use the Community for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, reverse-engineer, or create derivative works from the Platform except as permitted by law or with our written consent.
8. Copyright Policy (DMCA)
We respect intellectual property rights and respond to notices of alleged infringement under the Digital Millennium Copyright Act (DMCA).
To report infringement, send a written notice to our Designated Copyright Agent that includes: (1) your physical or electronic signature; (2) identification of the copyrighted work claimed to be infringed; (3) identification of the material claimed to be infringing and its location (URL) on the Community; (4) your contact information; (5) a statement that you have a good-faith belief the use is not authorized; and (6) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner’s behalf.

Counter-notice and repeat infringers. If your content was removed and you believe it was a mistake or misidentification, you may submit a counter-notice with the elements required by the DMCA. We maintain a repeat-infringer policy and will terminate, in appropriate circumstances, the accounts of users who repeatedly infringe.
9. Third-Party Services and Links
The Community may link to or integrate third-party websites, services, or content. We do not control and are not responsible for third parties. Your dealings with them are between you and the third party, and subject to their terms.
10. Privacy
Your use of the Community is also governed by our Privacy Policy, which explains how we collect and use information. Please review it.
11. Disclaimers
THE COMMUNITY IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Community will be uninterrupted, secure, error-free, or free of harmful components, or that User Content is accurate or reliable. You use the Community at your own risk. Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, we and our owners, members, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising out of or relating to your use of (or inability to use) the Community or any User Content, even if advised of the possibility of such damages.
Our total aggregate liability for all claims relating to the Community will not exceed the greater of (a) the total amounts you paid us, if any, in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
13. Indemnification
You agree to indemnify, defend, and hold harmless Cartwright Web Strategies LLC (DBA Denville Rocks) and its owners, members, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your User Content; (b) your use of the Community; (c) your violation of these Terms; or (d) your violation of any law or third-party right.
14. Suspension and Termination
We may suspend or terminate your access to the Community at any time, with or without notice, for any reason, including violation of these Terms. You may stop using the Community and delete your account at any time. Sections that by their nature should survive termination (including Sections 5–8 and 11–16) will survive.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws rules, and by applicable U.S. federal law.
Informal resolution first. Before filing any claim, you agree to contact us at legal@denvillerocks.com and attempt to resolve the dispute informally for at least 30 days.
Forum and venue. You and we agree that any dispute not resolved informally will be brought exclusively in the state or federal courts located in Morris County, New Jersey, and both parties consent to the personal jurisdiction of those courts. Either party may still bring a qualifying individual claim in small-claims court.
16. Changes to These Terms
We may modify these Terms from time to time. When changes are material, we will update the “Last Updated” date and provide notice through the Community or by email before they take effect. Your continued use after the effective date means you accept the updated Terms. If you do not agree, stop using the Community and delete your account.
17. General
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Community and supersede prior agreements.
- Severability. If any provision is held unenforceable, the rest remains in effect, and the unenforceable provision will be limited to the minimum extent necessary.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets.
- No third-party beneficiaries.
- Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
